Real REMAX Group (NASDAQ: REAX) Completes RE/MAX Acquisition and Authorizes Share Buyback

• The Real Brokerage completed its acquisition of RE/MAX Holdings on August 24, 2026, creating Real REMAX Group Inc. (NASDAQ: REAX).
• BTIG maintained its Buy rating and reportedly set a post-consolidation price target of $35.00. This should not be described as an increase from the unadjusted $4.25 target.
• Real REMAX Group authorized a share repurchase program covering up to the lesser of $450 million or 25 million common shares.

Real REMAX Group Inc. (NASDAQ: REAX) is a technology-enabled global real estate company providing brokerage, franchising, mortgage, and other related services. The company was formed through the completed combination of The Real Brokerage Inc. and RE/MAX Holdings Inc.

The transaction closed on August 24, 2026, and shares of the combined company began trading on Nasdaq under the REAX ticker on August 25. The combination brings together Real’s technology and operating platform with the REMAX global brand and franchise network. The combined business has more than 180,000 agents, including over 100,000 in the United States.

The transaction had an estimated enterprise value of approximately $880 million. Former Real shareholders received one Real REMAX Group share for each consolidated Real share they owned. Former RE/MAX Holdings shareholders received either 0.515 Real REMAX Group shares or a prorated combination of approximately $4.33 in cash and 0.3535 shares for each RE/MAX share.

Real also completed a 10-for-1 share consolidation immediately before the transaction. This adjustment is important when comparing analyst price targets and historical stock prices. BTIG’s previous $4.25 price target was issued before the consolidation and is equivalent to $42.50 on a post-consolidation basis. Therefore, a reported post-consolidation target of $35.00 would represent a reduction from the adjusted previous target, not an increase from $4.25.

Following the completion of the transaction, Real REMAX Group authorized a share repurchase program under which it may buy back up to the lesser of $450 million in value or 25 million common shares. The authorization permits, but does not require, the company to repurchase shares. The actual timing and amount will depend on factors including market conditions, the stock price, debt reduction, and other capital requirements. On August 27, 2026, REAX shares traded around $23.81, down approximately 10.5% during the session.
