Healthy Choice Wellness Corp. (NYSE American: HCWC) Executes Reverse Stock Split Amid Financial Challenges

• Healthy Choice Wellness Corp. completed a 1-for-35 reverse stock split in connection with its proposed merger with Host Digital Infrastructure.
• The company reported a difficult second quarter, with net sales declining 17.8% to $16.61 million and its net loss widening to $3.07 million.
• Although HCWC shares had risen 39.7% over the preceding month, continued losses, negative working capital, and weak operating cash flow remain important concerns.

Healthy Choice Wellness Corp. (NYSE American: HCWC) is a holding company focused on the natural and organic grocery sector. Through its subsidiaries, the company operates 19 grocery locations across six states under brands including Ada’s Natural Market, Paradise Health & Nutrition, Mother Earth’s Storehouse, Greens Natural Foods, Ellwood Thompson’s, and GreenAcres Market.

The company implemented a 1-for-35 reverse split of its Class A common stock. The split became effective at 11:59 p.m. Eastern Time on August 28, 2026, and the shares began trading on a split-adjusted basis when the market opened on August 31, 2026. The shares continue to trade on the NYSE American under the ticker HCWC, with a new CUSIP number of 42227T303.

The reverse split was connected to HCWC’s proposed merger with Host Digital Infrastructure LLC. Under NYSE American rules, a company resulting from a reverse merger must satisfy the exchange’s initial listing standards, including a minimum share price of $4.00. HCWC said the reverse split was intended to help the combined company meet that requirement when the proposed merger closes.

Under the split, every 35 pre-split shares were automatically converted into one post-split share. No fractional shares were issued. Shareholders who would otherwise have received a fractional share had their holdings rounded up to the next whole share after aggregation.

A reverse stock split reduces the number of outstanding shares while proportionally increasing the price represented by each share. It does not, by itself, improve the company’s operations or increase its underlying value. Although market capitalization should theoretically remain approximately unchanged immediately after a split, it can subsequently rise or fall as the stock trades.

The corporate action followed a difficult second quarter for Healthy Choice Wellness. For the quarter ended June 30, 2026, net sales declined 17.8% to $16.61 million, compared with $20.20 million in the corresponding period of 2025. Gross profit fell 20.8% to $6.41 million, down from $8.09 million.

The company reported a quarterly net loss of $3.07 million, or $0.11 per pre-split share, compared with a loss of $339,359, or approximately $0.03 per pre-split share, in the year-ago quarter. Its adjusted EBITDA shifted to a loss of $1.92 million, compared with positive adjusted EBITDA of $395,925 in the prior-year period.

HCWC shares had declined 3.7% since the release of the second-quarter results, while still recording a 39.7% increase over the preceding month, according to Zacks. These percentages cover different measurement periods and should be interpreted separately. Any historical share prices reported before August 31 should also be identified as pre-split figures.

HCWC’s broader financial position presents additional risks. During the first six months of 2026, the company recorded a net loss of $6.74 million, used approximately $1.20 million in operating cash, and ended June with only $893,825 in cash and cash equivalents. It also reported negative working capital of approximately $6.6 million and disclosed conditions raising substantial doubt about its ability to continue as a going concern. These financial issues, together with the pending merger, are more relevant to HCWC’s underlying outlook than the mechanical increase in its per-share price resulting from the reverse split.
